Device Trade-In Overview & Terms and Conditions

Cellular One, Free4Life, FreedomFone, and FlexFone are divisions, subsidiaries and brand products of Smith Bagley, Inc. As used herein, Cellular One means Smith Bagley, Inc. Smith Bagley, Inc. pays a license fee to use the name Cellular One. These Terms and Conditions contain important information about your legal rights, and require that certain disputes be resolved through arbitration instead of a court trial. Your participation with the Device Trade-In Program (the “Program”) is contingent upon your agreement with these terms and conditions, applicable and other supplemental terms and conditions, which are available at www.mycellularone.com. Cellular Onereserves the right to change or modify any of these Terms and Conditions at any time and at its sole discretion. However, if the terms aremodified in such a way that is materially and may be adverse to you, Cellular One will provide a minimum of 30 days’ written notice.Your use of services after any changes or modifications to the Terms and Conditions have been posted to our website indicates your consent of the then current Terms and Conditions. The currentness of these Terms and Conditions are indicated by the Revised and EffectiveDate at the top of the first page. Cellular One, therefore, encourages all subscribers to review the Terms and Conditions on our Website periodically. Cellular One, Free4Life, FreedomFone, FlexFone are registered trademarks. All rights reserved. Once you have reviewed these materials, we will be happy to explain any portion of your agreement or answer your questions. By purchasing or activating a wireless communication device or using any Cellular One service (“Service”), Customer (“You”) acknowledge and agree to the following terms and conditions:

  1. DEVICE TRADE-IN PROGRAM OVERVIEW. Eligible Customers may trade in their current handset and receive credit towards the purchase of a new Cellular One device.  Trade-in credit amount dependent upon valuation of device.  Value is determined in the sole discretion of Cellular One associates and partners. Purchase must be made on the same day as trade-in. Offer valid in-store only. Trade-in credit valid towards new handset purchase only. Customer may trade-in multiple devices towards one purchase.  This offer may be combined with other offers or promotions.  Cellular One may discontinue this program at any time in its sole discretion without notice.
  2. PROGRAM DETAILS.
    1. Eligibility. Program is open to current or new customers of Cellular One or its subsidiary programs, including Naked Mobile, Free4Life, FreedomFone, or FlexFone who are eighteen (18) years of age or older, or with written parental consent.
    2. Device Requirements. Devices must be fully paid-off, with no remaining installment balances of leases, and owned by the customer who is present and wishes to trade-in. To be eligible for trade-in, devices must not be reported as lost, stolen or blacklisted. Devices with excessive damage or water exposure may be rejected or qualify for reduced value.  SIM and memory cards must be removed prior to trade-in.  Customers will be responsible for performing a factory reset on all trade-in devices, before eligible, to remove all personal data from the device(s).
    3. Device Valuation and Trade Credit. All valuations must be rendered in-store, by trained and designated Cellular One staff, using the company’s trade-in system (Newaya).  All valuations and trades must be performed in-person, in store.  No trades will be considered via online or remote communications.  Trade-in value is determined by factors, including but not limited to: model, condition, and current market resale value. Final valuation will be confirmed on-site at the time of trade. Cellular One staff reserve the right to make all final determinations as to value. Internal trade-in credit will be applied as a same-day discount towards a qualifying new Cellular One handset device purchase.  All trade-in discounts must be used on the same day as the trade-in is completed. Trade-in credits cannot be saved, transferred, nor applied to later transactions. No gift cards of value equivalent to the trade-in valuation will be issued, nor will cash be given in exchange.  Any promotional or bonus credits (if offered) will have defined expiration dates and limited terms.
    4. Transfer of Ownership. By agreeing to trade-in their device, the customer warrants that they are the sole owner of that device and that they possess full ownership and authority to transfer ownership and possession of that device. Once the terms of the trade-in are offered and accepted by both parties, full ownership transfers permanently to Cellular One or its partners.  Devices shall not be returned after the trade-in is finalized.
    5. Privacy of Customer Information on Devices. Customer shall remove all personal information from their device before trade-in, and restore the phone to factory settings. Cellular One is committed to protecting the privacy and security of our customers’ personal information, and will, in no instance, use any customer information or data left on devices for any commercial nor personal uses.Cellular One is not responsible for any personal or other data remaining on the device.
    6. Program Limitations. Offer valid in-store only.  Offer may be combined with other device offers, unless explicitly stated otherwise. Offer available only at participating Cellular One locations in Arizona and New Mexico.  Program terms, inventory, eligibility, and trade valuations may vary by location.  Cellular One reserves the right to modify, suspend, or discontinue the Program at any time.
  3. FRAUD AND COMPLIANCE. Devices identified as counterfeit. Altered, or reported as lost or stolen are ineligible for trade-in.  Activity deemed as fraudulent may result in forfeiture of credit and potential legal action.  Program shall comply with all applicable FCC and FTC regulations and Arizona and New Mexico state trade-in laws and regulations.  All suspicious activity will be reported to controlling authorities.
  4. LIABILITY LIMITATION. Cellular One, its subsidiaries, employees, partners or agents shall not be held liable under any circumstances for valuation discrepancies, processing delays, typographical errors, or any other acts of omissions related to the offer, acceptance and trade-in of devices, nor the application of trade-in value to the purchase of any new device.
  5. DISPUTE RESOLUTION AND INDEPENDENT ARBITRATION. Most Customer concerns can be resolved through our Customer Solutions Department. However, if a concern cannot be resolved, all CUSTOMER DISPUTES WILL BE RESOLVED THROUGH THE AMERICAN ARBITRATION ASSOCIATION USING THE WIRELESS INDUSTRY ARBITRATION RULES. THIS MEANS THAT ALL DISPUTES ARISING FROM OR RELATING IN ANY WAY TO YOUR CELLULAR ONE SERVICE OR EQUIPMENT, WHETHER UNDER THESE TERMS OR CONDITIONS OR NOT, WILL BE RESOLVED THROUGH ARBITRATION, NOT IN COURT OR THROUGH JUDGE OR JURY. MOREOVER, TO THE FULLEST EXTENT ALLOWED BY LAW BOTH OF US AGREE TO WAIVE ANY RIGHTS TO PURSUE A CLAIM ARISING FROM OR RELATING TO THIS CONTRACT OR THE SERVICE AS A CLASS ACTION; THAT IS, YOU OR WE WILL NOT JOIN A CLAIM WITH THE CLAIM OF ANY OTHER PERSON OR ENTITY OR PURSUE A CLAIM ON BEHALF OF ANY OTHER PERSON OR ENTITY.  THE WAIVERS IN THISSECTION CONTINUE IN FORCE AND EFFECT AFTER THE TERMINATION OF THIS CONTRACT. You may also attempt to resolve your dispute by writing to the Arizona Corporation Commission, Utilities Division, 1200 W. Washington, Phoenix, Arizona 85007; the NewMexico Public Regulation Commission, P.O. Box 1269, Santa Fe, New Mexico 87504; or the Federal Communications Commission, Consumer & Governmental Affairs Bureau, 445 12th Street, S.W., Washington, D.C. 20554.
  6. GOVERNING LAW. By entering into a transaction governed by these Terms and Conditions, the Customer is agreeing to the governing laws of the State of Arizona or New Mexico, respectively for transactions occurring in those states, and to the governing laws of the State of Arizona for transactions occurring in all other states.
